1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User" or "Client") and Wisdek Corp. ("Wisdek," "we," "us," or "our") governing your access to and use of our website wisdek.com and our digital marketing services.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. You must be at least 18 years old and have the legal capacity to enter into this agreement.

2. Our Services

Wisdek provides professional digital marketing services including:

• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) Management (Google Ads, Facebook Ads)
• Web Design & Development
• Social Media Marketing
• Content Marketing
• Email Marketing

We reserve the right to modify, suspend, or discontinue services with reasonable notice. We strive for 99.9% website uptime but do not guarantee uninterrupted access.

3. User Accounts

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

4. Acceptable Use Policy

You agree NOT to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services or servers

5. Intellectual Property

6. Client Content & Ownership

For content you provide to us (e.g., images, text, branding materials):

• You retain full ownership of your original content
• You grant us a license to use your content for service delivery
• You represent that you have the rights to provide this content
• You are responsible for ensuring your content does not violate any laws or third-party rights

For work we create for you (websites, ads, content):

• Upon full payment, you own the final deliverables
• We retain rights to templates, frameworks, and proprietary tools
• We may showcase your project in our portfolio (unless otherwise agreed)

7. Payment Terms

Pricing: All prices are in Canadian Dollars (CAD) unless otherwise stated. Pricing is subject to change with 30 days' notice.

Payment: Payments are due according to the terms in your service agreement. We accept credit cards, bank transfers, and other approved methods.

Late Payments: Accounts overdue by 30 days may incur a 1.5% monthly interest charge and may result in service suspension.

Refunds: Refund eligibility is determined on a case-by-case basis and outlined in your service agreement. Generally, completed work is non-refundable.

8. Cancellation & Termination

By You: You may cancel services with written notice according to your service agreement. Prepaid fees may not be refundable.

By Us: We may terminate services if you breach these Terms, fail to pay, or engage in harmful activities. We will provide reasonable notice except in cases of immediate risk.

9. Warranties & Disclaimers

Service Warranty: We strive to deliver high-quality services using industry best practices. However, results in digital marketing are not guaranteed and depend on many factors beyond our control.

Disclaimer: OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC RANKINGS, TRAFFIC, OR REVENUE RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISDEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wisdek, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you provide that infringes on intellectual property or other rights

12. Confidentiality

Both parties agree to keep confidential information obtained during the course of service confidential. This includes business strategies, proprietary data, and non-public information.

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

Arbitration: Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration in Ontario, Canada.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes indicates acceptance.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Wisdek regarding our services.
